Modification of Terms. We reserve the right to modify these Terms at any time, and without prior notice, by posting amended Terms that are always accessible through the “Terms of Use” link on this Website’s home page. Your continued use of this Website indicates your acceptance of the amended Terms. You should check these Terms through this link periodically for modifications. We may also, from time to time, issue additional guidelines and rules with respect to using our Website. We will notify you on the Website when we issue any such additional information. By using our Website, you agree that you will comply with any such additional guidelines and rules.
  3. License. NAVC and the Veterinary Innovation Council grant you a limited non-exclusive, non-transferable, and revocable license to access and use the Website, only in connection with fostering the professional development of the global veterinary healthcare community and related uses. You may not access or use this Website for purposes of resale. This license terminates automatically if you breach these Terms.
  4. Prohibited Activities. You do not have the right to modify this Website, its content, or any copyright or other proprietary notices. Unauthorized use of this Website or any content may violate copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes. You may not copy, distribute, transfer, or transmit this Website or its content in any form without our prior written permission.   5. Membership. Portions of this Website are viewable without registration or membership with us, but many of our services and our Website is available only to registered members. As part of the registration process, you will provide an email address and create a password for your account. You hereby release, indemnify and hold we and our employees, directors, agents, and affiliates (collectively, the “NAVC Indemnified Parties” and “The Veterinary Innovation Council Parties”) harmless from, and agree that NAVC Indemnified Parties and The Veterinary Innovation Council Parties shall in no event be liable for, any claims, losses, damages or liabilities relating to (i) any inaccuracies, errors or omissions with respect to any information contained on the Website, (ii) any use or access of this Website or our services whatsoever by you or any person utilizing your identifying or access information; (iii) the violation of these Terms or the Privacy Policy by you or any person utilizing your identifying or access information; (iv) your violation, alleged or actual, of any third party right, including without limitation any copyright, property, or privacy right; (v) any claim that any material or content you uploaded or e-mailed to us or published on the Website caused damage to a third party; or (vi) your gross negligence or willful malfeasance. This indemnification obligation does not apply with respect to any claims, losses, damages or liabilities resulting from our own gross negligence or intentional misconduct. This indemnification obligation is in addition to other obligations set forth elsewhere in these Terms.
  18. California Residents. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE YOUR RIGHTS WITH RESPECT TO CALIFORNIA CIVIL CODE SECTION 1542, WHICH SAYS “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR”.
  19. Jurisdiction And Venue. The courts of Alachua County in the State of Florida, USA and the nearest U.S. District Court to Alachua County in the State of Florida, USA shall be the exclusive jurisdiction and venue for all legal proceedings relating to these Terms.
  20. Controlling Law. These Terms shall be construed under the laws of the State of Florida, USA, excluding rules regarding conflicts of law.
  21. Entirety; Waiver. These Terms, including the Privacy Policy and any supplemental terms, policies, guidelines and rules that may be posted on the Website from time to time, embody the entire agreement between the parties concerning the matter dealt with herein and supersede all prior agreements or understandings as may relate to the subject matter hereof. No waiver of any of the provisions of these Terms shall be deemed to or shall constitute a waiver of any other provision hereof (whether or not similar).
  22. Assignment. You may not assign or transfer any of your interest in or rights or obligations under these Terms without our prior written consent. We may, however, assign or transfer any of our rights or obligations under these Terms to any third party without your prior consent.
  23. Intended For Use Only In The United States. This Website is controlled and operated by NAVC from its offices within the United States. NAVC does not represent that this Website is appropriate or available for use elsewhere; access to this Website from locations where its contents are illegal is not authorized. If you access this Website from outside the United States, you do so on your own initiative and at your own risk.
  24. Force Majeure. We shall not be liable for damages for any delay or failure of delivery arising out of causes beyond their reasonable control and without their fault or negligence, including, but not limited to, Acts of God, acts of civil or military authority, fires, riots, wars, embargoes, Internet disruptions, hacker attacks, or communications failures.
  25. Authority, Eligibility. In accordance with the Children’s Online Privacy Protection Act, children under the age of 13 are prohibited from using this Website. Membership on this Website is null and void if prohibited by applicable law. By using the Website, you represent and warrant to us that you are at least 18 years of age, that you have the proper right, authority and capacity to enter into these Terms on your behalf or on behalf of another person, and that you will abide by the terms and conditions contained in these Terms.

Google Analytics Advertising Features: From time to time, The NAVC and VetFolio will enable Google Analytics Advertising Features to measure the responses to our online ads. These may include ads for the VMX Conference, Veterinary Innovation Summit, NAVC Institute, NAVC VetFolio and other properties. In addition, we may run online ads on behalf of our veterinary industry partners. To measure responses to our ads, the NAVC and our Industry Partners use first-party cookies (such as the Google Analytics cookie) or other first-party identifiers, and third-party cookies (such as the DoubleClick cookie) or other third-party identifiers together. You may opt out of the Google Analytics Advertising Features — including Ads Settings, Ad Settings for mobile apps, or any other available means — by following these Google instructions.

Children’s Privacy

The VIC Site is intended for adults. NAVC does not knowingly collect personal information from children under the age of 13. If NAVC obtains knowledge that it has personally identifiable information about a child under 13 in retrievable form in its files, NAVC will delete that information from our existing files.

Cookies & Computer-Related Information

NAVC does not enable “cookies” on the NAVC Site with one exception. A cookie is used in website system administration to keep track of movement of an individual user from one screen to another. This information

may be used by the NAVC staff to detect and resolve website problems and to assist with customer support. NAVC does not collect any personally identifiable information about site visitors in this process.

NAVC takes precautions to protect your information and to keep any information you provide in a secure manner in accordance with industry practices.
